About Orad
The Company was established in Israel in 1992 and commenced operations in 1993.
Orad was admitted to the Neuer Markt of the Deutsche Boerse in November 1999.
The Company takes advantage of real-time video processing and pattern
recognition algorithms, powerful hardware engines, sophisticated sensor
technologies and innovative application generators to deliver unique tools that
make TV, sports and advertising more effective and compelling. The Company also
develops and markets high-end 3D graphical computer platforms for the visual

'outstanding achievement in real time virtual imaging for live event
television'.
The Company currently offers four categories of products:
• TV studio production systems: including virtual sets
(Cyberset), which allow the real-time, seamless integration of computer
generated studio environments with physical objects, and on-air graphics
systems, which enable the insertion of 2D or 3D graphics and animations into
live broadcasts;
• sports production products: including products for the
insertion of real-time, computer-generated enhancement graphics, animation,
video and text, and the insertion of virtual advertising signage in sports
broadcasts (IMadGINE and CyberSport), as well as products for the provision of
enhanced analysis and commentary for sports events through sophisticated replay
and slow-motion applications (CyberPlay, Virtual Replay and Forum);
• horserace tracking: HorseTrack, the world's first
real-time statistical horse tracking and identification system for statistical
database generation and race broadcast via TV, the internet and onto cellular
phones; and
• visual simulation solutions: Orad's visual simulation

(Commodity Off the Shelf) graphical cards tied together to produce a single
output channel.

Business development and strategy for growth
The Company's strategy is to maintain and build on its leading position as a
provider of solutions that transform the way audiences view and interact with
their TV screens. The Company intends to achieve this through:
• enhanced technological leadership;
• an expanded product offering, market presence and
distribution network; and
• a focus on major international events.
Enhanced technological leadership
The Company is committed to continuing to develop its key technologies in-house.
The Company intends to invest further in research and development in order to
maintain and enhance its technological leadership, increase the functionality of
its products and proliferate the use of its technologies within the industry.
Expanded product offering, market presence and distribution
The Company intends to broaden its product offerings in order to provide a total
production solution for its customers. Furthermore, since many of the Company's
customers may have a need for more than one of the Company's products, the
Company expects to increasingly market its products on a packaged basis.
The Company seeks recurring revenue streams from some of its products, such as
IMadGINE, either through multi-year licences, revenue sharing of the additional
advertising revenues generated by the use of IMadGINE, or a combination thereof.
In addition, the directors of Orad plan to increase revenues derived from the
provision of services such as product maintenance and support.
The Company has recently developed new sales channels and a direct sales force
to take advantage of opportunities which have availed themselves to Orad in
light of its visual simulation solutions and horse tracking applications.
A focus on major international events.
The Company leverages major international events such as the Football World Cup
and local/national elections to increase revenues generated by the use of its
products.

insufficient for at least 12 months from today's admission.
Admission to AIM
The Directors believe that admission to AIM will improve the liquidity and
marketability of Orad's shares and raise the profile of the Company in the UK
and Europe as well as provide access to the UK capital markets to facilitate any
future fundraising.
The directors and officers of Orad together are interested in 38.8% of the
issued share capital of Orad. 10,650,726 ordinary shares of NIS 0.01 each have
