VOTING RIGHTS AND CAPITAL

In  conformity with the Transparency Directive, Octopus IHT AIM VCT plc notifies
the market of the following:

Octopus IHT AIM VCT plc's capital consists of 15,426,098 'A' Ordinary shares
with a nominal value of 0.01p each, with voting rights. Octopus IHT AIM VCT PLC
does not hold any 'A' Ordinary Shares in Treasury.

Therefore,  the total  number of  voting rights  in Octopus  IHT AIM  VCT PLC is
15,426,098.

The  figure of 15,426,098 may be used by shareholders as the denominator for the
calculations  by which they will determine if  they are required to notify their
interest in, or a change to their interest in, Octopus IHT AIM VCT PLC under the
FSA's Disclosure and Transparency Rules.
