Enhanced Buyback Facility
The board of directors ("Board") of Octopus Apollo VCT plc ("the Company") is pleased to announce that the Company's enhanced buyback facility in respect of the ordinary shares of 10p each in the capital of the Company ("Enhanced Buyback Facility") has now closed.
Defined terms used in this announcement shall have the same meanings given to them in the prospectus/circular published by the Company on 17 August 2012.
The most recently published net asset value per Share as at today's date was 89.7p. Accordingly the Tender Price is 89.7p per Share and the Issue Price, after taking into account the costs of the Enhanced Buyback Facility, is 94.5p per Share.
The full result of the Enhanced Buyback Facility is as follows:
· Total number of Existing Shares in issue as at the Record Date: 53,958,085
· Total number of Existing Shares tendered: 18,868,091
· Total number of New Shares issued: 18,043,313
All correctly completed applications in respect of the Enhanced Buyback Facility have, therefore, been accepted in full and there has been no scaling back of applications. The New Shares rank pari passu in all respects with the existing share capital of the Company.
Application has been made to the UK Listing Authority and the London Stock Exchange for the New Shares to be admitted to the Official List and to trade on the London Stock Exchange's main market for listed securities. It is expected that admission will become effective and dealings will commence on, or around, 18 February 2013.
As a result, of the buyback and allotment of Shares undertaken today pursuant to the Enhanced Buyback Facility, there are now 52,677,882 Shares in issue.
The above figures may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
