Listing Application for shares to be issued in connection with the acquisition of the Minority Holdings in Mutual & Federal Insurance Company Limited (Mutual & Federal)
Application has been made by Old Mutual plc (the "Company") for the listing of up to 147,315,590 new ordinary shares (the "shares") of 10 pence each in the Company to the UK Listing Authority and for trading of the shares on the London Stock Exchange. It is expected that admission will be granted on 5 February 2010 and that dealings will commence on the 8 February 2010. The application has been made pursuant to Old Mutual's offer to acquire those Mutual & Federal shares not currently beneficially owned by Old Mutual and/or its subsidiaries. When issued, these shares will be credited as fully paid and will rank pari passu with the Company's existing issued ordinary shares. Application has also been made for listing of the shares on the JSE Limited ("JSE") and the Namibian, Malawian and Zimbabwean exchanges have been notified. From 1 February 2010, the rights to the scheme consideration shares have been able to trade on the JSE. On 8 February 2010, it is expected that the shares will be issued, allotted and listed on all the relevant exchanges, with dealings expected to commence at the same time.
