GRANT OF RESTRICTED SHARES IN NEDBANK GROUP LIMITED TO A PDMR
The following restricted share award was granted to Mr T A Boardman, Chief Executive of Nedbank Group Limited and a member of the Group Executive Committee of Old Mutual plc, on 11 August 2009 under the terms of the Nedbank Group (2005) Share Option, Matched Share and Restricted Share Scheme:

The restricted shares were granted at the volume-weighted average price of R108.45 for the three trading days prior to issue, namely 5 to 7 August 2009, at no cost to Mr Boardman. Vesting of these shares, which is due to occur on 12 August 2012, is subject to time-based criteria and is also conditional upon Mr Boardman not engaging with competing financial institutions between his scheduled retirement as Chief Executive of Nedbank in February 2010 and the vesting date of these shares.
The total number of restricted shares held by Mr Boardman under the Nedbank Group (2005) Share Option, Matched Share and Restricted Share Scheme following this award is 251,715.
