EXERCISE OF AN OPTION BY A PDMR

Mr M W T Brown, Chief Executive of Nedbank Group Limited, exercised the following option under the Nedcor Group (1994) Employee Incentive Scheme on 10 May 2010:

Original date of grant	Shares under option	Exercise Price
11 May 2004	20,000	R60.01

Mr Brown sold the shares at a price of R132.6236 each and the total taxable gain was R1,452,272.

The total number of Nedbank Group Limited shares held by Mr Brown under option under the Nedcor Group (1994) Employee Incentive Scheme and the Nedbank Group (2005) Share Option, Matched Share and Restricted Share Scheme is 170,000, all of which have vested.
