Old Mutual plc announces that a total of 3,551,412,891 shares in the
Company were in issue as at 31 December 2000.  Changes since 30 June
2000 were made up as follows:

Shares issued during the period
on exercise of executive share options          1,780,133

Shares issued during the period
on exercise of sharesave options                    8,528

Shares issued in November 2000 
on placing in connection
with acquisition of revenue streams 
of Pilgrim Baxter                             105,000,000

Shares in issue at 31 December 2000         3,551,412,891


The  above  figure  for shares issued on exercise  of  executive  and
sharesave   share  options  include  rollover  options   granted   in
connection with the acquisition of Gerrard Group plc in April 2000.
