Number of Shares in Issue
Old Mutual plc ('the Company') announces that a total of 3,552,405,819 shares
in the Company were in issue as at 30 June 2001. Changes since 31 December
2000 were made up as follows:

Shares issued during the period on exercise of executive share 895,217
options
Shares issued during the period on exercise of sharesave options 97,711
Shares in issue at 30 June 2001 3,552,405,819
The above respective figures for shares issued on exercise of executive share
options and sharesave options include rollover options granted in connection
with the acquisition of Gerrard Group plc in April 2000.
