                    Total voting rights and shares in issue


The Company's issued ordinary share capital at 30 September 2007 comprised
5,507,584,098 ordinary shares of 10p each.


African life subsidiaries of the Company held a total of 291,337,559 ordinary
shares in the Company in their policyholders' funds at that date and these
shares cannot be voted while they are held by subsidiaries of Old Mutual plc
because of applicable provisions of UK company law.


However, for the purposes of disclosure in accordance with Rule 5.6.1R of the
Disclosure and Transparency Rules, the shares held by African life subsidiaries
of the Company are included in the total voting rights for the purposes of
calculating disclosable interests. Therefore the total number of voting rights
in the Company's ordinary share capital at 30 September 2007 was 5,507,584,098.
