                    Total shares in issue and voting rights


The Company's issued ordinary share capital at 1 November 2007 comprised
5,509,146,148 ordinary shares of 10p each.


Of this amount, a total of 28,531,705 shares were held in treasury by the
Company and these shares cannot therefore be voted.  In accordance with Rule
5.6.1R of the Disclosure and Transparency Rules, the total voting rights for the
purposes of calculating disclosable interests at 1 November 2007 was
5,480,614,443.
