Update on Old Mutual's Offer for Skandia
Final acceptance level and settlement
Old Mutual plc ('Old Mutual') is pleased to confirm that acceptances of its
Offer received between 9 February 2006 and close of the Offer on 14 March 2006
have now been validated in respect of 89,715,247 shares in
Forsakringsaktiebolaget Skandia (publ) ('Skandia'). When added to those Skandia
shares that had already been acquired at the previous closing date of 9 February
2006, this brings the aggregate interest of Old Mutual to 1,012,714,276 shares,
which represents approximately 98.73 per cent of the total number of shares and
votes in Skandia on an undiluted basis and 98.23 per cent of shares and votes in
Skandia on a fully diluted basis.
Settlement in respect of valid acceptances of Old Mutual's offer for Skandia
received by 14 March 2006 is expected to take place tomorrow for shares settled
through CREST, and on Friday, 24 March 2006 for shares settled through the VPC
in Sweden.
Application has been made to the UK Listing Authority for the listing of
123,077,299 Ordinary Shares of 10 pence each in Old Mutual to the Official List
and to the London Stock Exchange for these shares to be admitted to trading.
These shares will rank pari passu with the existing shares in issue and are
being issued and allotted as part of the consideration payable for Old Mutual's
acquisition of shares in Skandia. Applications are also being made for these
shares to be admitted to listing on the Johannesburg, Stockholm, Namibia,
Zimbabwe and Malawi Stock Exchanges.
To date, Old Mutual have not acquired any Skandia shares except those acquired
under the terms of the Offer. However, following finalisation of the Offer, Old
Mutual reserves the right to purchase Skandia shares in the market.
