On the Beach Group plc (LSE: OTB.L), the UK's leading online retailer of beach holidays, announces that Lee Ginsberg, a Non-Executive Director of the Company, has informed the Board of his wish to resign from the Board with immediate effect in order to focus on other time commitments.
The search that is currently underway for a new Chair of the Board will be widened to include an additional Non-Executive Director. The Group will provide an update on these appointments as and when appropriate.
The Board wishes to thank Lee for his valuable contribution to the Company since his appointment ahead of Group's IPO in 2015.
Accordingly, the Board intends to withdraw resolution number 8 as set out in the Notice of Annual General Meeting dated 7 January 2019 (the "Notice") relating to Lee's re-election as a director. The remaining resolutions as set out in the Notice will be put to shareholders at the Annual General Meeting to be held on 7 February 2019, with results being announced following the conclusion of the meeting. The withdrawal of resolution 8 does not affect the validity of the proxy form circulated to shareholders in respect of the 2019 Annual General Meeting or any proxy votes already submitted.
