Result of Annual General Meeting
The Company is pleased to announce that all Resolutions proposed at the Annual General Meeting held yesterday were duly passed.
The results of the voting by way of a poll on Resolution 12 (Waiver Resolution) were as follows:

Christopher Mills and North Atlantic Smaller Companies Investment Trust plc, who comprise a Concert Party for the purposes of the City Code and are interested in 7,435,000 Ordinary Shares representing 44.65 per cent. of the Company's issued share capital, were not entitled to vote on the Waiver Resolution. Following the passing of the Waiver Resolution, the maximum potential interests of the Concert Party would be 49.61 per cent. of the Company's issued share capital assuming (i) full use is made by the Company of the Share Purchase Authority granted at the AGM, (ii) no member of the Concert Party disposes of any of its Ordinary Shares pursuant to the exercise of the Share Purchase Authority, and (iii) no person exercises any options or other rights to subscribe for Ordinary Shares.
The Company's issued share capital, as at 25 August 2014 is 16,650,992 Ordinary Shares of 50p each.
