On 24th December 2001 the Company allotted 94,300 ordinary shares of 1p
('Ordinary Shares') to Sharon Wood, the wife of Andrew Wood, a director of the
company, pursuant to the exercise of options over 1p ordinary shares as
follows:

In addition to the above options over 160,161 ordinary shares granted to
