This transfer was in respect of non-beneficial shareholdings held by the
Directors in their capacity as Trustees of the Oxford Instruments plc Share
Participation Scheme.
In accordance with the rules of Oxford Instruments plc Share Participation
Scheme the above shares having been held in trust for three years were
released to employees of the Company entitled to the relevant shares under the
Scheme. The decisions to release these shares were taken by the other Trustees
of each scheme acting independently of the Director Trustees.
