Annual General Meeting
10 November 2020
At the Annual General Meeting held on 10 November 2020 all resolutions were passed, including those detailed below:
· Shareholders approved an ordinary resolution renewing the Directors' general authority to issue shares up to an aggregate nominal value of £672,852.80 (representing approximately 10% of the Company's total issued share capital as at 24 September 2020) and a special resolution to renew the Directors' authority to allot a limited number of shares for cash on a non pre-emptive basis up to an aggregate nominal value of £672,852.80. Both authorities will expire at the conclusion of the Annual General Meeting of the Company to be held in 2021 or on 10 February 2022 whichever is the earlier, unless previously renewed, revoked or varied.
· Shareholders approved a special resolution renewing the Company's authority to make market purchases of up to 14.99% of the Company's issued share capital, being 10,086,063 ordinary shares of 10p. The Company's authority permits it to hold shares bought back "in treasury". Such treasury shares may subsequently be either sold for cash or cancelled. The authority will expire at the conclusion of the Annual General Meeting of the Company to be held in 2021, unless previously varied, revoked or renewed.
· Shareholders approved under Special Business an ordinary resolution to increase the limit for Directors' fees to £200,000 in aggregate per annum in accordance with Article 107 of the Company's Articles of Association.
