Notice of AGM

and

Confirmation of AGM attendance and presentation by JV operator  

Pantheon Resources plc ("Pantheon" or the "Company"), the AIM-quoted oil and gas exploration company active in Texas, today announces that its Annual General Meeting ("AGM") will be held at the offices of Sprecher Grier Halberstam LLP, 5^th Floor, One America Square, Crosswall, London EC3N 2SG on Friday 14 December 2012 at 10:00 a.m.

The Company is pleased to advise that Mr Bobby Gray, Managing Director of Vision Gas Resources LLC ("the operator"), will be attending the AGM. He will make a presentation to shareholders and will also answer questions. This represents an excellent opportunity for shareholders to meet the operator of the Tyler County Joint Venture. It also offers the prospect for investors to gain a greater understanding of the implications for Pantheon's acreage arising from the extensive geological work that has recently been undertaken.

The Annual Report and Accounts of the Company for the financial year ended 30 June 2012 will be posted to shareholders today, together with the Notice of the AGM, which will be available from the Company's website at: www.pantheonresources.com
