Directors' Notification of Dealing in Shares

Parity Group PLC 12 April 2000 Parity plc ('the Company') The following announcement of directors' interests in ordinary shares of Parity Group plc (the 'Company') is made pursuant to the requirements of section 324 and Schedule 13 of the Companies Act 1985. Following the grant of options under the Parity Group 1999 Company Share Option Plan and the Parity Group 1999 Unapproved Company Share Option Plan (the 'Plans') on 6 April 2000, the following directors hold options over ordinary shares. Messrs. R. Bacon, K.M. Jennings and R. King (the 'executive directors') are interested in an option granted by the Company to Walbrook Trustees (Guernsey) Limited to subscribe for 3,700,000 ordinary shares at an exercise price per share equal to the higher of the market value of an ordinary share as determined by reference to the middle market quotation for dealings in ordinary shares as derived from the Daily Official List of the London Stock Exchange for the last dealing day before the proposed exercise (in whole or in part) of the option by Walbrook Trustees (Guernsey) Limited or the related exercise price(s) at which options are granted under the Plans from time to time. Walbrook Trustees (Guernsey) Limited acts as the trustee of The Parity Group 1999 Employee Benefit Trust (the 'Trust') which is an employee benefit trust established for the employees or former employees (including executive directors) of the Company and its subsidiaries. The option granted to Walbrook Trustees (Guernsey) Limited will lapse on the tenth anniversary of the date on which the option was granted (25 October 2009). Walbrook Trustees (Guernsey) Limited as trustee of the Trust is connected with Messrs. R. Bacon, K.M. Jennings and R. King for the purpose of section 346 of the Companies Act 1985 since the executive directors are all potential beneficiaries under the Trust.
