PayPoint plc ('the Company')
As a result of transactions on 18 March 2005 by the PayPoint plc Share Incentive
Plan (an Inland Revenue approved all employee share purchase plan), the
executive directors of the Company have the following interests as a result of
their personal participation in the Plan:-
Partnership Shares purchased on Matching Shares awarded on Total number of Partnership and
18 March 2005 at £2.55 per 18 March 2005 at £2.55 per Matching Shares held on 18
share share March 2005
Dominic Taylor 49 49 502
Tim Watkin-Rees 49 49 502
George Earle 49 49 502
In accordance with the rules of the Plan these directors have been awarded the
Matching Shares on the basis of one Matching Share for each Partnership Share.
The beneficial ownership of the Matching Shares will pass to the directors in
three years time subject to continued employment and the retention of the
underlying Partnership Shares.
