                           Director's Shareholding


The Company was yesterday notified that on 30 April 2001, Keith Charles
Richmond, the Non-Executive Chairman of the Company, sold in aggregate 250,000
ordinary 1p shares from himself, his wife and from the K.C. Richmond Family
Trust into the market at 8 pence per share and his beneficial pension scheme,
the KDM International PLC Director's Pension Scheme bought back the same
amount at the same price. This does not change Keith Richmond's beneficial
interest which remains at 3,334,985 ordinary 1p shares representing 12.4 per
cent. of the issued share capital of that class.
