Directors' Interests

Following notification today from Suffolk Life Annuities Limited that the
information previously notified by them was incorrect, the issuer advises that
the following replaces the Directors' Interests announcement released on 12 June
2002 at 12:49hrs under RNS: 1385X.



The correct information should read:

•                    "William Catchpole now has an interest in a further 28,901
ordinary shares in the Company, taking his total interest to 1,079,275 shares",
not "William Catchpole now has an interest in a further 28,903 ordinary shares
in the Company, taking his total interest to 1,079,277 shares" as previously
reported.

•                    "Stuart Gordon now has an interest in a further 28,902
ordinary shares in the Company, taking his total interest to 245,569 shares",
not "Stuart Gordon now has an interest in a further 28,901 ordinary shares in
the Company, taking his total interest to 245,568 shares" as previously
reported.

•                    "Simon Madden now has an interest in a further 28,902
ordinary shares in the Company, taking his total interest to 213,568 shares",
not "Simon Madden now has an interest in a further 28,901 ordinary shares in the
Company, taking his total interest to 213,567 shares" as previously reported.

The Company received notification yesterday that following the purchase
yesterday of 115,606 ordinary 1p shares in the Company at a price of 8.65 pence
each, Suffolk Life Annuities Limited is now interested in 3,958,861 ordinary 1p
shares representing 14.74 per cent of the issued share capital of the Company.



As a consequence of this transaction, William Catchpole, the Managing Director
of the Company, now has an interest in a further 28,901 ordinary shares in the
Company, taking his total interest to 1,079,275 shares, representing 4.02 per
cent of the issued shares of that class.



As a consequence of this transaction, Stuart Gordon, the Finance Director of the
Company, now has an interest in a further 28,902 ordinary shares in the Company,
taking his total interest to 245,569 shares, representing 0.91 per cent of the
issued shares of that class.



As a consequence of this transaction, Simon Madden, the Sales Director of the
Company, now has an interest in a further 28,902 ordinary shares in the Company,
taking his total interest to 213,568 shares, representing 0.80 per cent of the
issued shares of that class.



As a consequence of this transaction, Geoffrey Forsyth, the Technical Director
of the Company, now has an interest in a further 28,901 ordinary shares in the
Company, taking his total interest to 180,568 shares, representing 0.67 per cent
of the issued shares of that class.
