Further re Placing of Shares

Pearson plc:   Share Placing

Further to the announcement made earlier today, Pearson
confirms that it has placed 11,500,000 ordinary shares at a
price of £22 per share to raise approximately £250,000,000
after expenses to fund its existing and new internet related
businesses.

The placing was effected through Cazenove & Co. and Goldman
Sachs.
