RTL GROUP - STATEMENT BY PEARSON PLC

Commenting on Bertelsmann's announcement that it is taking its stake in RTL
Group to 67% by acquiring GBL's 30% stake, Marjorie Scardino, Chief Executive
of Pearson plc said:

'We welcome this transaction. It simplifies the shareholding structure of RTL
Group and further strengthens our working relationship with Bertelsmann. It
also paves the way for early moves to increase the proportion of publicly
traded shares in RTL.'
