Directors' Dealings in the Company's Shares
On the 1st February 2002, Mr P P Wainscott, a director of the Company, ceased to
have any further interest in 38,000 ordinary share options of Peel Holdings
p.l.c.
Mr Wainscott has received a cash compensation payment in respect of the
surrender of the options based on the middle market price of the Company's
ordinary shares on the 30th January 2002. The compensation payment per ordinary
share option was 714p (the middle market price of 680p on the 30th January 2002
plus a further payment of 34p being 5% over the middle market price on the 30th
January 2002) less the average exercise price of 126p per share.
