Solvera Businesses Bought for £1m

Pennant International Group PLC 22 December 1999 Pennant International Group Acquires Logistics Software and Documentation Businesses for £1 million. Pennant International Group plc announces that on 21st December 1999 it completed the acquisition of all the issued share capital in Solvera Information Services (Documentation) Limited, Solvera Information Services (Software) Limited and Solvera Information Services (Technologies) Limited, from Solvera Information Services Limited; and 85% of the issued share capital in Omega Logistics International Inc, from Solvera plc in Administration. On 7th August 1999 the businesses and certain assets of Solvera Information Services Limited were transferred to the three UK companies referred to above. From that date to 30th November 1999 the combined turnover of the acquired businesses, including Omega Logistics International Inc, was approximately £2.5million and losses for the period amounted to approximately £0.3million. Pennant International Group paid £1million allocated as to £40,000 for share capital with the balance to clear existing inter-company loans at completion. The Documentation business is a major independent provider of electronic technical documentation in the UK and Europe. Services include the supply of electronic manuals and support products, including computer based training, to customers in the defence, aerospace, petro-chemical, transportation, IT and telecommunications industries. The Software business and Omega Logistics International in the USA are major providers of Integrated Logistics Software (ILS) products and services in the world-wide defence and transportation industries. A comprehensive family of ILS software products is marketed under the Omega PS label. The UK based company focuses on the UK and European markets, whilst the US based company covers the rest of the world notably the USA, Canada and Australia. Both companies provide software support and training to their clients. Technologies is an embryonic business with a small team dedicated to the development of products for Internet Technical Publications, Omega WEB PS ILS software for intranets, extranets and the Internet, and training system delivery over the Internet. 'Together with our current operating company, Pennant International Limited supplying simulation and training systems products to the defence and aerospace markets, these businesses add major, complementary capabilities in the broad field of integrated logistics support,' said Joe Thompson, Group Chief Executive. 'In addition to the contribution to group turnover and profit, we have identified synergies in the new grouping which offer exciting opportunities for developing new markets for our products and services including the North American market. This acquisition strengthens our position in the defence and aerospace industries and is a significant step-change in the group's development.' The principal places of business of the UK companies are Southampton and Manchester. Omega Logistics International Inc is based in Los Angeles, California, USA and has an office in Ottawa, Ontario, Canada. It is the intention that the three UK companies will be combined into a single legal entity, which will trade as Pennant Information Services Limited and the US company as Pennant Information Services Inc.
