PENNON GROUP PLC (THE 'COMPANY')



LISTING ANNOUNCEMENT


Application has been made to the UK Listing Authority for the admission of
123,495,740 ordinary shares of 111 pence each in Pennon Group Plc to the
Official List and to the London Stock Exchange for these securities to be
admitted to trading.  This application is made pursuant to the Company's Share
Capital Consolidation that was approved by shareholders at the Company's AGM on
25 July 2002. This application incorporates 69,000 shares in the Company that
have been issued under the All Employee Sharesave Scheme not previously covered
under a block listing.  Admission and trading in these shares of 111 pence each
is expected to commence on 2 September 2002.



In addition, application has been made to the UK Listing Authority for the
admission of 400,000 ordinary shares of 111 pence each in Pennon Group Plc to
the Official List and to the London Stock Exchange for these securities to be
admitted to trading as a block listing.  The application is being made in
respect of shares that may fall to be issued pursuant to the Pennon Group All
Employee Sharesave Scheme.



A copy of the document detailing the share capital consolidation has been
submitted to the UK Listing Authority and is available for inspection at the UK
