NOTIFICATION OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY TRANSACTIONS
PURSUANT TO DR3.1.4R(1)


Pennon Group Plc announces that it received notification on 1 September 2006
pursuant to DR3.1.2R that pursuant to the rules of the Company's Sharesave
Scheme options over Ordinary shares of 40.7p each in the Company were exercised
and the shares allotted to persons discharging managerial responsibilities in
the Company on 1 September 2006 in England as follows:

Dr S C Bird                 -     1,569
Mr B S Hurley               -     1,047
Mr K D Woodier              -     5,235

The shares were allotted and issued to Dr Bird and Messrs Hurley and Woodier at
the subscription price of 176.66p per share (being the option price).
