DIRECTORS/PDMR SHAREHOLDING (PURSUANT TO DR3.1 4R(I))


Pennon Group Plc announces that it received notification on 10 October 2005
pursuant to DR3.1.2R as follows:


(1) that pursuant to the Company's SCRIP Dividend Alternative, the
following Ordinary shares of 111p each in the Company were allotted to persons
discharging managerial responsibilities in the Company on 5 October 2005 in
England:

                   Mr A R Hooper             -           408

                   Mr R M P Hughes           -           951

                   Mr E G Jackson            -           428

                   Mrs J M Jackson           -              2

                     (connected person to Mr E G Jackson)

                   Mr G R Murphy             -             35

                   Mrs M S Read              -             48

                   Mr N J Read               -              2

                   (connected person to Mrs M S Read)



These shares were allotted to the persons discharging
managerial responsibilities in the Company on 5 October 2005 pursuant to the
Company's SCRIP Dividend Alternative whereby participants elected to receive one
new Ordinary share for every 1013.4 pence otherwise payable as a cash dividend
in respect of the final dividend for the year ended 31 March 2005.



(2) Also the following Ordinary shares of 111p each in the Company
in respect of the final              dividend payable for the year ended 31
March 2005 were reinvested into ISAs by persons discharging managerial
responsibilities in the Company on 5 October 2005 in England:
