DIRECTORS/PDMR SHAREHOLDING (PURSUANT TO DR3.1.4R(1))

Pennon Group Plc announces that it received notification on 5 October 2006
pursuant to DR3.1.2R that Ordinary shares of nominal value 40.7p each in the
Company were purchased for 523.7941 pence per share for persons discharging
managerial responsibilities (PDMRs) in the Company on 3 October 2006 in London,
England as follows:

The shares were purchased for the PDMRs pursuant to the Company's Dividend
Re-investment Plan which provides all shareholders with the opportunity to
