NOTIFICATION OF DIRECTORS' INTERESTS PURSUANT TO SECTION 324(2) OF THE
COMPANIES ACT 1985





Reference the Stock Exchange announcement made on 3 August 2006 relating to the
changes in the interests in shareholdings of Directors of Pennon Group Plc ('the
Company') which arose in London, England from the Company's subdivision of each
of its 1221/10p Ordinary shares into three new Ordinary shares of 40.7p each.



Notification is hereby given that the figures given for the number of options
over the Company's Ordinary shares granted to Mr C I J H Drummond in accordance
with the Company's Sharesave Scheme and the adjusted number of options following
the share split were incomplete and should have read as follows:
