DIRECTOR SHAREHOLDING

Pennon Group Plc today announced that options over 261,360 Ordinary shares
exerciseable at 566p per share were granted on 9 July 2002 in accordance with
the Company's Sharesave Scheme.  The options will be exerciseable normally
between 2005 and 2009.

Included within the above figure, options over 2,924 shares were granted to Mr D
J Dupont, a Director of the Company.
