DIRECTORS' SHAREHOLDING

Pennon Group Plc announces today that it has received notification that its 
three Executive Directors have obtained a conditional interest in Ordinary 
shares of the Company as follows:

Mr R J Baty                      -    18,514
Mr C I J H Drummond              -    18,514
Mr D J Dupont                    -    14,694

The shares were awarded on 16 September 2002 at a price of 638p per share and
represent the maximum number of shares to which each of the Directors would
become entitled under the Company's Restricted Share Plan if the relevant
performance criterion was met.  The shares are held by Pennon Share Plans
(Guernsey) Limited.

On the same day, the conditional interest of the three Directors in shares
awarded under the Restricted Share Plan in 1999 lapsed as the performance
condition attaching to those awards had not been met.  Their conditional
interest had been as follows:

Mr  R J Baty                    -     10,314
Mr C I J H Drummond             -     10,314
Mr D J Dupont                   -     4,361
