DIRECTOR'S SHAREHOLDING


Pennon Group Plc announces that it has today received notification that Mr C I J
H Drummond, Executive Director, has obtained a conditional interest in 1,161
Ordinary shares of the Company.

The shares were awarded on 3 December 2002 at a price of 607p per share under
the Company's revised performance related bonus arrangements whereby the cash
bonus payable in respect of 2001/02 is matched by an award of shares of an
equivalent amount.  It is a condition of the performance related bonus scheme
that the shares so awarded should normally be held for a period of three years,
conditional upon continuous service with the Company.  The shares are held by
Pennon Share Plans (Guernsey) Limited.
