EMPLOYEES' SHARESAVE SCHEME





In conformity with LR12.6.4 Pennon Group Plc is required to notify the market of
the following:



On 27 July 2007 Pennon Group Plc transferred out of treasury 433 Ordinary 40.7p
shares at an option price of 270p in connection with an early exercise of an
option by a participant in the Company's 3 year Sharesave Scheme.



The total number of treasury shares held by Pennon Group Plc following the
transfer is 1,633,685.  The number of shares that Pennon Group Plc has in issue
less the total number of treasury shares it held following the allocation is
353,530,589.
