HOLDING IN COMPANY

Pennon Group Plc has today received notification (by a letter dated 15
February 2001) pursuant to Section 198 (as amended), of the Companies Act 1985
that, as a result of the novation of funds from Norwich Union Investment
Management Limited, Morley Fund Management Limited now holds 9,279,893
Ordinary shares of £1 each in Pennon Group Plc, representing 6.8% of the
issued share capital of the Company.  Both Norwich Union Investment Management
Limited and Morley Fund Management Limited are subsidiaries of CGNU Plc which
had previously notified the Company on 29 September 2000 of its interest in
6.94% of the issued share capital of the Company.
