Pennon Group Plc has received notification (by fax dated 5 October 2004) that
Morgan Stanley Securities Limited and its Group on 30 September 2004 acquired an
interest in Ordinary shares of £1.11p each in Pennon Group Plc which resulted in
a total holding of 3,780,752 shares in the Company, representing approximately
3.02% of the issued share capital of the Company.
