VOTING RIGHTS AND CAPITAL


In conformity with the Transparency Directive's transitional provision 6, Pennon
Group Plc is required to notify the market of the following:



Pennon Group Plc's current issued share capital consists of 356,069,758 Ordinary
shares of nominal value 40.7p each with voting rights.  None of these Ordinary
shares is held in Treasury.



Therefore, currently the total number of voting rights in Pennon Group Plc is
356,069,758.



The above figure (356,069,758) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Pennon Group Plc under the
FSA's Disclosure and Transparency Rules.
