Transaction in Own Shares

Pennon Group Plc announces that it has today purchased through Credit Suisse
(Securities) Europe Limited 100,000 ordinary shares at a price of 604.38 pence
per share.



The purchased shares will all be held in treasury.  Following the above purchase
and non-cancellation of such equity shares, Pennon Group Plc will hold 5,347,100
ordinary shares in treasury and a total of 349,817,174 ordinary shares will be
in issue (excluding shares to be held in treasury). Pennon Group has this week
issued out of treasury 10,452 ordinary shares which have been deducted from the
number of shares held in treasury set out above.
