Acquisition of ProVida
The Company announces that it has agreed to acquire the
ProVida in-car surveillance business from JAI AS, an
international speed enforcement and video surveillance
business based in Denmark. The initial consideration is
£3.5m in cash paid on completion and a further £0.25m of
deferred consideration consequent on performance.
Net assets at the date of the acquisition are expected to
be approximately £250,000. In the 12 month period to 31
March 2000, ProVida had sales of £700,000 and a loss of
£27,000.
ProVida is an addition to the Datax product range, best known for its weekly
television appearance in the UK, on Police, Camera, Action and
similar programmes in many of the 21 countries whose
police forces use the in-car video surveillance system.
The ProVida system is used to record the in-car video
footage necessary to secure convictions of motorists
caught speeding or violating driving laws and is used by
all UK Police Forces and many continental and world wide
forces.
