Screen plc ('Screen' or 'the Company')
Results of EGM, Appointment of Nominated Adviser, Board changes and Statement re
current trading
The Board of Screen is pleased to announce that all of the resolutions proposed
at an EGM of the Company, held today, in order to allow the Second Placing (as
defined in the circular to shareholders dated 16 January 2002) to be completed,
were duly passed. The Board expects to be able to announce the completion of the
Second Placing in the near future.
The Company is also pleased to announce the appointment of Collins Stewart as
its Nominated adviser and joint broker which the Board believes will provide the
Company with greater exposure to potential institutional investors and thereby
strengthen its shareholder base.
In addition, following the appointment of Major-General Tim Sulivan as a
Non-Executive Director, which was announced on 7 February 2002, the Board
announces that Ian Taylor MBE MP has been appointed Deputy Chairman with effect
from today. He has been a Non-Executive Director of the Company since January
2000. Further, Charles Hughes stands down as non-executive director and has
resigned from the Board with immediate effect although he will continue to make
his services available to Screen on a consultancy basis. The Board thanks him
for his valuable contribution to the Company.
As regards current trading, we are pleased to announce that our order book is
currently in excess of £8 million and the pipeline of potential new business is
strong. The Board is delighted that order intake at Joyce-Loebl Ltd., which was
acquired in December 2001, is strong in both defence and transport sectors.
