Screen Plc ('the Company') - Extraordinary General Meeting
The Company wrote to its shareholders yesterday convening an extraordinary
general meeting on 24 November for the purposes of increasing the Company's
authorised share capital. The text of the letter to shareholders is set out
below:
'Dear Shareholder
With this letter you will find enclosed a Notice of Extraordinary General
Meeting and proxy form for a meeting of the shareholders of the company to be
held on 24 November 1999.
The purpose of the meeting is to:
1. Increase the Company's authorised share capital from 300,000,000
shares to 400,000,000 shares. This will increase the number of shares that
the directors have available to allot from around 8,000,000 to 108,000,000
shares.
2. To authorise the directors to allot the new shares; and
3. To grant an authority for the directors to issue up to 50,000,000
shares without having to first offer them to the other shareholders.
As you will be aware from our recent interim financial statement the group is
now showing a profit and the mobile data terminals business of Petards Datax
is expanding at a rapid rate. In particular, Petards Datax finds itself in
receipt of orders that it may not have the resources to meet.
In order to take advantage of these lucrative opportunities, your Board
considers that additional working capital is required and may continue to be
required before the next annual general meeting. For this reason your Board
wants the ability to be able to place additional shares with investors so it
can raise funds when required for the expansion of the group's business.
I hope, therefore, that you will authorise the directors to issue shares so
that the company can raise additional funds in this way. This will enable us
to meet the exciting opportunities that the group is pursuing in order to
expand its business.
