Directors/PDMR Shareholdings

Rodney Chase, Chairman of Petrofac Limited, is a member of an investment club, the Hole Investment Club (the "Club").  Mr Chase became a member of the Club at the end of 2009 and has a five per cent interest in it.  The Club holds 15,000 ordinary shares of $0.02 each in the Company ("Shares") which it acquired prior to Mr Chase joining the Club.  Mr Chase took no part in any discussion relating to the purchase of these Shares.  Mr Chase has recently become aware that the Club is constituted as a partnership and that all members are partners.  The Club is therefore deemed to be a connected party of Mr Chase. Mr Chase will not take part in any discussion relating to the potential sale of these Shares.

Mr Chase continues to hold 800,000 Shares in his own name.    

The Company's issued share capital consists of 345,629,656 Shares with voting rights.  Each Share carries the right to one vote.  The Company does not hold any Shares in Treasury.
