notification that the following individuals purchased ordinary shares in the
Company under the Petrofac Approved Share Incentive Plan (the "Plan") on 17 July
2006.

The shares are currently held in trust for participants of the Plan. Although
participants may withdraw their respective shares from the trust at any time,
the Plan has been designed so that ordinarily shares remain in trust for a
minimum of five years from the date of purchase.


If participants and their connected persons hold shares outside the Plan (or any
other Company share incentive scheme), separate announcements are made under the
Listing Rules as required.
