Notification of transaction by Director's wife


In accordance with DR 3.1.2, Petrofac has been notified that Mrs Gillian Roberts
gifted 3,000,000 ordinary shares in Petrofac to her husband, Mr Keith Roberts, a
director of Petrofac, on 30 November 2005. Following this transaction, Mr and
Mrs Roberts' interest in Petrofac remains unchanged at 3,120,000 shares,
representing 0.9% of Petrofac's issued shares.
