Following the expiry on 7 October 2006 of the first phase of the Company's Lock-
up arrangements put in place at flotation, the Company was notified today that
on 9 October 2006, Petrofac ESOP Trustees Limited (PETL) disposed of 3,792,950
ordinary shares of the Company, resulting in PETL currently holding a total of
27,870,238 ordinary shares of the Company, representing 8.07% of the Company's
issued share capital. In addition, employees who held shares directly and who
are also subject to the Lock-up provisions disposed of 1,804,736 shares.
None of these sales were on behalf of directors of Petrofac Limited or persons
discharging managerial responsibility.
