The Company was notified on 17 February 2006 in accordance with Article 13 of
the Company's Articles of Association that as at 17 February 2006, Petrofac ESOP
Trustees Limited ceased to be interested in 6,589,864 ordinary shares ("shares")
of the Company; as a result, Petrofac ESOP Trustees Limited remains interested
in 31,830,488 shares, representing approximately 9.22% of the issued share
capital of the Company.

The 6,589,864 shares in which Petrofac ESOP Trustees Limited has ceased to be
interested were comprised in participatory interests in shares held by various
employees of the Petrofac Group under the terms of the Petrofac Limited
Executive Share Scheme ("ESS"). These shares have been re-registered in the
names of these employees, at their request, as permitted by the terms of the
ESS, and the beneficial ownership of these shares remains unchanged.
