The Company was notified on 1 December 2006 in accordance with Article 13 of the
Company's Articles of Association that Petrofac ESOP Trustees Limited (PETL) has
ceased to be interested in 386,600 ordinary shares ("shares") of the Company; as
a result, PETL remains interested in 27,483,638 shares, representing
approximately 7.96% of the issued share capital of the Company. The registered
holder of the shares is Pershing Keen Nominees Limited.
Of the 386,600 shares disposed, 294,000 shares were transferred from PETL to be
re-registered directly into the names of the beneficial holders who are current
and former employees of the Petrofac Group, at their request, and the beneficial
ownership of these shares remains unchanged; and 92,600 shares were sold by PETL
on behalf of current and former employees. None of the sales were on behalf of
directors of Petrofac Limited or persons discharging managerial responsibility.
