Notification of Major Interest in Shares

Petrofac has today been notified by Petrofac ESOP Trustees Ltd that its
interest in the ordinary shares of Petrofac is 38,420,352, representing 11.13%
of the issued share capital of Petrofac.  This is 26,800 shares lower than 
notified on 10 October 2005 due to the late processing of certain share sale
elections validly made prior to Admission.
