                             DIRECTOR SHAREHOLDING

The Company was notified on 07 November 2002 that on 06 November 2002, Mr
Patrick Maugein became interested in a further 948,480 (1.33%) SOCO
International plc ordinary shares of £0.20 each ('Shares').

The Shares were acquired at a purchase price of £3.15 per share by Chemsa Ltd,
which is owned by a trust company whose potential ultimate beneficiary is the
family of Mr Patrick Maugein.

Following this transaction, Mr Maugein, through Chemsa Ltd, is interested in
5,791,435 Shares, representing 8.12% of the issued share capital of the Company
and 325,215 warrants to purchase Shares at an exercise price of 55p each.
