                             DIRECTOR SHAREHOLDING

The Company was notified on 2 April 2004 that Mr Rui de Sousa has sold 50% of
his shareholding in Quantic Ltd to Yunfiel SA (the 'Transaction'), a company
owned 100% by Mr Patrick Maugein. Following the Transaction, Mr de Sousa and Mr
Maugein each have a 25% interest in Quantic Ltd, which at the time of the
Transaction owned 3,043,254 SOCO International plc ordinary shares of £0.20 each
('Shares'), representing 4.21% of the issued share capital of the Company.

The Company was further notified on 2 April 2004 that subsequent to the
Transaction, Quantic Ltd has made a distribution ('the Distribution') of
2,877,478 Shares and 162,607 warrants to subscribe for ordinary shares in the
issued share capital of the Company ('Warrants'). Following the Distribution,
Quantic Ltd holds 165,776 Shares and no Warrants, and no longer has a notifiable
interest in the Company.

Following the Transaction and the Distribution, Mr Maugein is deemed to have an
interest in 6,510,804 Shares representing 9.01% of the issued share capital of
the Company. This interest is held through Chemsa Ltd (5,791,435 Shares) which
is owned by a trust company whose potential ultimate beneficiary is the family
of Mr Maugein and Yunfiel SA (719,369 Shares) of which Mr Maugein owns 100% of
the issued share capital. In addition to Shares, Mr Maugein is interested in a
total of 365,867 Warrants held through Chemsa Ltd (325,215 Warrants) and Yunfiel
SA (40,652 Warrants) at an exercise price of £0.55 each.

Following the Transaction and the Distribution, Mr de Sousa is deemed to have an
interest in 1,219,987 Shares, representing 1.69% of the issued share capital of
the Company. This interest is held through New Falcon Oil Limited (614,619
Shares) of which Mr de Sousa owns 100% of the issued share capital and Palamos
Limited (605,368 Shares) which is owned by a trust company whose potential
ultimate beneficiary is the family of Mr de Sousa. In addition to Shares, Mr de
Sousa is interested in a total of 1,549,853 Warrants, held through New Falcon
Oil Limited which holds 40,652 Warrants at an exercise price of £0.55 each and
through Palamos Limited which holds 55,336 Warrants, 925,187 Warrants and
528,678 Warrants at an exercise price of £0.55, £0.60 and £0.65 each
respectively.
